1. Formation of contract

These Terms and Conditions, together with the estimate of works (“Estimate”) provided by Born & Bred Studio describing the services, set out the entire agreement between Born & Bred Studio and you (the “Client”). They apply once an appointment has been made to provide Born & Bred Studio’s services (the “Services”). Please read them carefully before procuring the Services. If you do not agree with them, do not use the Services.

2. Scope of work

Born & Bred Studio is retained to provide interior design services only. Born & Bred Studio is not a general contractor and will not act in that capacity. Any issues concerning construction elements must be discussed between the owner and their contractor.

We will advise the Client of the predicted timescale of works as soon as possible after quotes have been produced. Estimated time frames are usually set in weekly blocks of Monday to Friday, 8am – 6pm. Other schedules — late evenings, specific days or Sundays — can be accommodated at extra cost. We do not work late on Fridays or on Saturdays. All dates are approximate and Born & Bred Studio cannot be held responsible for delays in completion.

After the initial consultation, a design deposit is taken and we draw up a design concept for the Client’s approval. If the Client is not happy, we will work on a second draft based on their feedback. If the Client changes their mind once the design has been agreed, or further amendments are needed, this will incur a cost.

Born & Bred Studio organises third-party companies, firms or individuals (“Third Party Suppliers”) to undertake certain work — such as decorating, building work, carpet fitting, and curtain and blind manufacture and fitting — as confirmed by Born & Bred Studio. Born & Bred Studio takes no responsibility for the actions of these suppliers or any delay they cause.

Interior design can be subjective and we cannot guarantee that Clients will always like our recommendations, so we cannot provide refunds on that basis. Please contact us and we will be happy to discuss the design concept further and, in special cases, make further recommendations by phone or email.

3. Client obligations

• Ensure the property is accessible to Born & Bred Studio and any Third Party Suppliers throughout the works.
• Ensure utilities such as electricity and water are available at the property throughout the works, at no cost to Born & Bred Studio.
• Pay invoices within 7 days of the invoice date.

4. Purchasing and rental products

Where Born & Bred Studio needs to purchase products for the Client in addition to the agreed scope, full payment of the agreed price is required before purchase. Where furniture or accessories are rented, the Client is responsible for insuring them against all risks, damage or loss.

5. Third Party Suppliers

The Client forms a contractual relationship with Third Party Suppliers and is responsible for managing those relationships and any financial settlements directly. If requested, Born & Bred Studio may co-ordinate services and settlements on the Client’s behalf as part of the Services, but the Client remains ultimately responsible for the contract with the Third Party Supplier. Born & Bred Studio does not form contracts on the Client’s behalf.

6. Payment and billing

Charges for the Services are set out in the Estimate, or as amended by Born & Bred Studio and communicated to the Client. The 2-Hour Interior Design Consultation is charged at £350 + VAT. Payment is by bank transfer or through our website.

Payments are due on presentation of invoice; invoices sent by post are payable within 7 working days of the invoice date. Interest at £50 per day may be added from the due date until settlement. Three invoices are issued per project (additional invoices are charged at £20 each):

• Invoice 1 — Design fee: payable in three instalments — a 50% initial deposit, a 25% second payment and 25% on the day of completion/installation.
• Invoice 2 — Materials: payable in full, covering all products and materials to be ordered.
• Invoice 3 — Workmanship (decorators, builders, electricians): payable in two instalments, before work starts and on the day of completion.

If Born & Bred Studio has to instruct a debt recovery agency or begin legal proceedings, the Client will be liable for any costs incurred.

7. Cancellation and termination

The Client may cancel the contract at any time up to the end of seven working days after the day it is concluded (a working day is any day other than weekends and bank or public holidays). This right does not apply if the Services begin, with the Client’s agreement, before the end of that period. To cancel, give written notice by hand, post or email to info@bornandbredstudio.com. We will refund the Client for the Services within 30 days.

After that period the Client may terminate the contract at any time by giving written notice. The Client will be liable for services provided up to the date of termination, including services already performed, goods and materials supplied or ordered on the Client’s behalf, any cancellation fees and travel or accommodation costs incurred. Termination does not affect either party’s outstanding rights or duties.

For consultations and other appointments, please give at least 24 hours’ notice to reschedule or cancel.

8. Liability

Born & Bred Studio has no liability for loss, damage, costs or claims arising from incomplete, incorrect or inaccurate information or instructions supplied by the Client, and is not liable for unforeseeable loss or damage, including loss of profit or consequential loss. Neither party is liable for failure to perform due to circumstances beyond its control, including flood, fire or adverse weather.

To allow us to deal with complaints, please provide full details within 7 days of the relevant services being supplied. Nothing in these terms affects liability for death or personal injury caused by negligence, for fraudulent misrepresentation, or your statutory rights as a consumer.
